Terms of sale and use
Draft — to be reviewed before launch. Written from Rowsmith’s code on 27 October 2026. It isn’t legal advice: a qualified lawyer reviews it before the first sale. The highlighted blanks and notes are for the owner.
These terms are between you and Vardan Verma, trading as Rowsmith (“we”, “us”), of India. They cover the Rowsmith web app at https://rowsmith.app and Rowsmith Pro licences. By using Rowsmith or buying Rowsmith Pro, you agree to them. If you accept them for a firm, you confirm you may bind it.
Who sells you what
Lemon Squeezy sells Rowsmith Pro for us as the “merchant of record”. It takes your payment, charges the right sales tax or VAT, sends your receipt and invoice, and processes refunds. Its buyer terms apply to the payment. These terms apply to Rowsmith itself and to your licence.
Using Rowsmith for free
- You may convert and check any number of statements free of charge.
- When Rowsmith Pro is on sale, free exports include the first 50 rows of each file. Converting, checking and reviewing every row stay free.
- We may change what’s free in future versions, and we’ll say so on the website first.
- You may not sell, rent or redistribute Rowsmith, or remove our name or notices from it, except as the law allows.
Your Rowsmith Pro licence
What you get
- Pro exports every row. Free exports include up to 50 rows per file, in any format.
- One person: a licence is for one named person, on all of their own devices. A firm needs a licence for each person who uses Pro.
- Annual: $79 a year. It lasts one year from purchase and doesn’t renew by itself. Buy another year whenever you like.
- Lifetime: $149, paid once, with no end date.
- The checkout shows the final price, with any tax for your country.
Your key
- Your licence is a signed key that contains your name, email address, the date it was issued, its end date (or that it’s lifetime) and a licence number. Rowsmith checks it in your browser, with no call to us.
- After an annual key’s end date, exports go back to the free limit. Files you’ve already exported keep working, and nothing else changes.
- Keep the email with your key. If you lose it, write to support@rowsmith.app and we’ll send it again.
- Don’t share your key with other people or publish it. The key shows who it’s licensed to.
- If a purchase is refunded or charged back, the licence ends, and you must stop using Pro. (A key can’t be switched off remotely, because Rowsmith never calls home.)
Updates
We aim to fix problems and add bank layouts. We don’t promise support for any particular bank, file or future feature.
Your right to cancel (EU and UK consumers)
- If you’re a consumer in the EU or UK, you normally have 14 days to withdraw from a purchase of digital content.
- Your licence key is delivered at once. So at checkout you’re asked to agree that delivery starts immediately, and to acknowledge that you lose the right to withdraw once the key is delivered. You get a confirmation of this by email. [Owner: confirm that the checkout asks for this, and that the receipt or licence email confirms it.]
- Our refund policy goes further anyway: a full refund within 30 days of any payment, for any reason. See the refund policy.
- Most Rowsmith buyers buy for their business. Consumer withdrawal rights don’t apply to business purchases, but our refund policy does.
Your files
- Your statements and exports stay on your device. We never receive them, so we can’t recover a file you didn’t save.
- Only convert statements you’re allowed to handle: your own, or a client’s with their permission. Only open password-protected statements you’re entitled to open.
Check every export
- Rowsmith checks each statement against its own numbers: the opening balance plus the transactions must equal the closing balance, and each row must match the running balance where the statement prints one. It flags rows that don’t add up.
- That check can’t catch everything. Two errors can cancel out. A date, a description, or whether a row is money in or out can be wrong while the totals still balance. Statements whose layout we haven’t seen before may read differently, and scanned statements (pictures without text) can’t be read at all.
- Review every export before you import it or rely on it. Compare the totals with the statement, and check flagged rows.
- Rowsmith is a conversion tool. It doesn’t give accounting, bookkeeping, tax or legal advice, and it doesn’t replace your professional judgement.
Fair use
Don’t:
- attack, overload or probe our website or licence service;
- try to get licence keys without paying, or sell or publish keys;
- use Rowsmith for anything unlawful, such as processing statements you have no right to.
Warranty
- We work hard to make Rowsmith accurate. But, as far as the law allows, Rowsmith is provided “as is”. We don’t promise that every statement will convert, that exports will be free of errors, or that Rowsmith suits every purpose.
- If you’re a consumer, you have legal rights when digital content isn’t as described or doesn’t work. Nothing in these terms limits them.
Our liability
- We’re not liable for indirect or unforeseeable losses, or for losses from relying on an export you didn’t check, such as wrong figures in your books, accounting fees or penalties.
- Our total liability to you is limited to what you paid us for Rowsmith in the 12 months before the claim, or [Liability floor, for example USD 100] if that’s more.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for wilful or grossly negligent harm, or for anything else the law doesn’t let us limit.
Ending
- You can stop using Rowsmith at any time.
- We may end your licence if you seriously break these terms, for example by selling keys. We’ll tell you why, if we can.
- Refunds follow our refund policy.
Changes to these terms
We may update these terms. The new version applies from its effective date and is posted on this page. A change never shrinks a licence period you’ve already paid for.
Law and disputes
- These terms are governed by the law of India, and the courts of Jaipur, Rajasthan, India, have jurisdiction.
- If you’re a consumer, you keep the protection of the mandatory laws of the country where you live, and you can bring a claim in its courts.
- [Owner: the consumer arbitration line, as in Coffer’s terms, if your lawyer advises it.]
